4FRONT TECHNOLOGIES (FFTI, 15.06)- The provider of IT help desk services met expectations as its first quarter earnings fell to one cent per share from last year's 17 cents.  Revenues inched up to $58.1 million from last year's $57.3 million.

CENTRAL GARDEN & PET (CENT, 12)- The maker of lawn, garden, and pet supplies said it plans to spin-off its lawn and garden distribution business in July.

GREAT PLAINS SOFTWARE (GPSI, 40.38)- The maker of accounting and human resource software warned that fourth quarter earnings and revenues will fall short of expectations.  The company now sees earnings of $0.05-$0.10 per share, compared to analysts' expectations of 32 cents.  The company attributed the shortfall to a slower than expected recovery from a Y2K related slowdown.

MERIX CORP (MERX, 31.88)- The circuit board maker said it expects to beat analysts' fourth quarter expectations.  The company now sees fourth quarter revenues of $46.2 million and earnings of $0.45-$0.47.  Analysts were looking for the company to earn 28 cents in the quarter.  The company attributed the upward revision to higher selling prices and a better product mix.

OHIO ART CO (OAR, 7)- The maker of Etch a Sketch toys reported a first quarter loss of $1.61 per share, compared to last year's first quarter profit of 28 cents.  Revenues slipped to $9.1 million from last year's $10.5 million.  The company attributed the loss to higher "overhead costs".

OROAMERICA INC (OROA, 6.81)- The maker of gold and silver jewelry said first quarter earnings rose to 12 cents per share from last year's seven cents.  Revenues were essentially flat at $37.6 million.

REMEC INC (REMC, 47)- The maker of wireless products announced a 3 for 2 stock split.

TROY FINANCIAL CORP (TRYF, 9.75)- The bank holding company has agreed to acquire Catskill Financial Corp (CATB, 18) in a $90 million all-cash deal.  Under the terms of the agreement, Catskill shareholders will receive $23 per share in cash for each CATB share held.  The company expects the deal to be accretive to earnings within a year.

BLOCK DRUG CO (BLOCA, 27)- The maker of denture care products and OTC medicines said fourth quarter earnings rose to 69 cents per share from last year's 62 cents.  Revenues increased 2.6% to $239.1 million in the quarter.  Excluding currency effects, revenues rose 6.6%.  The company said it has hired an investment banker to explore strategic alternatives to enhance shareholder value.

METHODE ELECTRONICS (METHA, 50)- The contract electronics manufacturer beat estimates by a penny as fourth quarter earnings rose 8% to 27 cents per share.  Revenues increased 5.1% to $117.2 million in the quarter.  The company said sales of its fiber optic products jumped 85% in the quarter.

MITEL CORP (MLT, 19.94)- The maker of communications systems and semiconductors has agreed to acquire chipmaker Vertex Networks Inc in exchange for 11 million shares in a $219 million deal.  The company expects fiscal 2001 earnings to be diluted by 20 cents as a result of the deal.

SAMSONITE CORP (SAMC, 5)- The luggage maker said its first quarter loss narrowed to 51 cents per share from $1.03 per share last year.  Revenues increased 9.4% to $192.4 million, with U.S. sales rising 14%.

VARIAN MEDICAL SYSTEMS (VAR, 41.75)- The maker of cancer therapy systems has agreed to acquire oncology software maker IMPAC Medical Systems for 3 million shares of its stock in a deal valued at $135 million.  Varian sees the deal adding three cents per share to 2001 earnings.

BEBE STORES (BEBE, 9)- The women's apparel retailer said May same store sales tumbled 20%.  May total sales fell 10.2% to $17.7 million.

CONVERGYS CORP (CVG, 48)- The provider of outsourced customer care services will join the S&P 500 Index after the close on June 12th.

ELECTRONICS FOR IMAGING (EFII, 35)- The software maker warned that second quarter earnings will fall short of expectations.  The company now sees earnings of $0.38-$0.40 per share, compared to analysts' expectations of 51 cents.  The company also announced a $100 million stock buyback.  The shares are down 13.38 in pre-open trading on the news.

STARBUCKS INC (SBUX, 36)- The coffee restaurant operator will be added to the S&P 500 Index after Wednesday's close.  The shares are up 3.75 in pre-open trading on the news.

WELLS FARGO & CO (WFC, 43.94)- The banking group has agreed to acquire leasing company Charter Financial for an undisclosed amount.  The company plans to integrate Charter with its Wells Fargo Equipment Finance unit.

BASSETT FURNITURE INDUSTRIES (BSET, 12.75)- The furniture maker warned that second quarter earnings will fall short of expectations.  The company now sees earnings of $0.37-$0.38 per share, compared to analysts' expectations of 42 cents.  The company attributed the shortfall to the installation of a new computer system and a recent slowdown in sales.

CMGI INC (CMGI, 58.50)- The company's AltaVista subsidiary is reportedly planning an $899 million initial public offering of shares in its AltaVista Europe unit, according to London's Sunday Times.

LENNAR CORP (LEN, 19.68)- The homebuilder said May orders for new homes rose 40.2% to 1,772.

MESABA HOLDINGS INC (MAIR, 11.68)- The airline said its May passenger load factor increased to 59.6% from last year's 56.6%.

OFFSHORE LOGISTICS INC (OLOG, 13.56)- The oil services company beat estimates by a penny as fourth quarter earnings rose to 14 cents per share from last year's breakeven results.  Revenues slipped 3.2% to $102.5 million in the quarter.

PAGING NETWORK INC (PAGEE, 0.94)- The provider of wireless messaging services said its first quarter loss narrowed to 47 cents per share from last year's loss of 86 cents.  First quarter revenues fell 10.6% to $235.6 million.
